A20. Arbitration Agreement
IMPORTANT: PLEASE REVIEW CAREFULLY
This section contains an arbitration agreement and class action waiver that affect your legal rights. By using our Platform, you agree to resolve disputes through binding arbitration rather than in court, and you waive your right to participate in class actions.
Applicability
This Arbitration Agreement applies to any dispute, claim, or controversy arising out of or relating to:
- These Terms
- Your use of the Platform
- Any bookings made through the Platform
- Our relationship with you
Internal Review Procedure
Before initiating arbitration, you must first contact our Customer Service department to attempt to resolve the dispute informally. Provide:
- Your name and contact information
- A description of the dispute
- The relief you seek
We will attempt to resolve the dispute within 60 days. If unresolved, either party may initiate arbitration.
Waiver of Jury Trial
YOU AND GOLDSAINTE WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY. You and Goldsainte are instead electing to have claims and disputes resolved by arbitration.
Waiver of Class Action
YOU AND GOLDSAINTE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
Unless both you and Goldsainte agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.
Rules and Forum
The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. You can find the AAA Rules and forms at www.adr.org or by calling 1-800-778-7879.
The arbitration may be conducted in person, through document submission, by phone, or online.
Arbitrator
The arbitrator will be either a retired judge or an attorney licensed to practice law and will be selected according to AAA Rules. The arbitrator will apply applicable substantive law and is bound by these Terms.
Authority
The arbitrator has exclusive authority to:
- Resolve all disputes arising out of or relating to these Terms
- Determine arbitrability of disputes
- Award damages and other relief
The arbitrator's decision is final and binding, subject only to limited review by courts as provided by law.
Attorneys' Fees and Costs
In any arbitration, the prevailing party will be entitled to an award of reasonable attorneys' fees and costs, except where prohibited by law.
Batch Arbitration
If 25 or more similar claims are asserted against Goldsainte by the same or coordinated counsel, they will be resolved in batches according to AAA's Supplementary Rules for Multiple Case Filings.
Invalidity, Expiration, or Severability
If any portion of this Arbitration Agreement is found to be invalid or unenforceable, the remaining portions will remain in full force and effect. If the class action waiver is found invalid, the entire Arbitration Agreement will be unenforceable.
30-Day Right to Opt Out
You have the right to opt out of this Arbitration Agreement by sending written notice within 30 days of first accepting these Terms. Send notice to:
Goldsainte Legal Department
[Address]
Email: legal@goldsainte.com
Your notice must include your name, address, and a clear statement that you wish to opt out. If you opt out, all other parts of these Terms will continue to apply.
Modification
Notwithstanding any provision in these Terms to the contrary, we agree that if Goldsainte makes any material change to this Arbitration Agreement, you may reject the change by sending written notice within 30 days of the change, in which case your Account will be subject to the arbitration agreement in effect prior to the change.
